2. Services Description

Haven Mend Interiors provides interior design services including but not limited to:

• Residential interior design and decoration
• Commercial space design and planning
• Villa and luxury home design
• Renovation and remodeling consultation
• Space planning and optimization
• Design consultation and project management

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Grant reasonable access to the property for design work and consultations
• Make timely decisions regarding design proposals and material selections
• Pay all fees and expenses according to the agreed payment schedule
• Obtain necessary permits and approvals for construction or renovation work
• Communicate any changes or concerns promptly

4. Payment Terms

Payment terms are as follows:

• Design fees are due according to the payment schedule outlined in your contract
• A deposit may be required before work begins
• Additional costs for materials, furniture, and contractor services are separate
• Late payments may incur additional charges
• All prices are subject to applicable taxes

5. Intellectual Property

All design concepts, drawings, plans, and creative work produced by Haven Mend Interiors remain our intellectual property until full payment is received. Upon full payment, you receive a license to use the designs for the specific project. You may not reproduce, distribute, or use our designs for other projects without written permission.

6. Project Timeline

Project timelines are estimates based on the scope of work and are subject to change due to factors including but not limited to:

• Client decision-making and approval processes
• Availability of materials and furnishings
• Contractor schedules and performance
• Unforeseen circumstances or changes in project scope

7. Changes and Modifications

Changes to the original project scope may result in additional fees and extended timelines. All changes must be approved in writing by both parties. We reserve the right to charge for additional design time required due to scope changes.

8. Limitation of Liability

Haven Mend Interiors' liability is limited to the amount paid for our design services. We are not responsible for:

• Contractor performance or workmanship
• Product defects or manufacturer warranties
• Delays caused by third parties
• Consequential or indirect damages

9. Cancellation Policy

Either party may terminate the agreement with written notice. In case of cancellation:

• Client is responsible for payment of all work completed to date
• Deposits are non-refundable
• Materials ordered specifically for the project may be charged to the client
• Design work completed remains property of Haven Mend Interiors until paid in full

10. Photography and Marketing

We reserve the right to photograph completed projects for marketing and portfolio purposes. Client privacy will be respected, and no personal information will be disclosed without permission.

11. Warranty Disclaimer

While we strive for excellence in all our work, we make no warranties regarding:

• Third-party products or services
• Contractor workmanship
• Product performance or durability
• Specific project outcomes

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in New York, NY.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, or other unforeseeable events.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services constitutes acceptance of the modified Terms.
